These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Client") and CommLoop 365 ("CommLoop 365," "we," "us," or "our"), governing your access to and use of the CommLoop 365 website at https://www.commloop365.com, our AI phone receptionist platform, our SMS notification program, and all related services (collectively, the "Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Agreement to Terms
By creating an account, subscribing to a plan, or otherwise using the Service, you represent that:
- You are at least 18 years of age;
- You have the legal authority to enter into this agreement on behalf of yourself or the business entity you represent;
- All information you provide to CommLoop 365 is accurate and complete; and
- Your use of the Service will comply with these Terms and all applicable federal, state, and local laws and regulations, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and CTIA guidelines.
2. Description of Service
CommLoop 365 provides an AI-powered phone receptionist platform designed for trade businesses, including plumbers, electricians, HVAC technicians, roofers, landscapers, and general contractors. The Service includes:
- AI Call Answering: Automated answering of inbound phone calls on behalf of Client businesses, 24 hours a day, 7 days a week;
- Call Qualification: AI-driven conversation to gather caller information, service type, and urgency;
- Emergency Escalation: Detection of emergency keywords and immediate forwarding of calls to the Client's designated mobile number;
- Appointment Booking: Integration with Client calendars to schedule service appointments;
- SMS and Email Notifications: Delivery of call summaries, caller details, and appointment confirmations to Clients and their callers via SMS and email; and
- Analytics and Reporting: Call volume, call type, and performance data accessible through the Client dashboard.
CommLoop 365 reserves the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice to active Clients.
3. SMS Messaging Program Terms
3.1 Program Name and Description
Program Name: CommLoop 365 SMS
CommLoop 365 operates an SMS messaging program to deliver call notifications, appointment confirmations, appointment reminders, and service alerts to trade business owners and their customers. When you opt in to receive SMS messages from CommLoop 365, you may receive:
- Call summary notifications after each AI-answered call (caller name, issue, address, urgency, and transcript link);
- Appointment booking confirmations and reminders;
- Emergency escalation alerts;
- Account and service updates; and
- Responses to your inbound SMS messages (e.g., HELP, STOP commands).
3.2 How to Opt In
You may opt in to receive SMS messages from CommLoop 365 by:
- Providing your mobile phone number during account registration and checking the SMS consent box;
- Texting a keyword to our business phone number as instructed during signup; or
- Verbally consenting during a service or onboarding call with a CommLoop 365 representative.
By opting in, you expressly consent to receive recurring automated SMS messages from CommLoop 365 at the mobile number you provide. Consent is not a condition of purchasing any goods or services.
3.3 Message Frequency
Message frequency varies based on your call volume and account activity. Clients typically receive 1–10 SMS messages per day depending on the number of inbound calls handled by the AI receptionist. Callers who book appointments may receive up to 3 messages per booking (confirmation, reminder, and follow-up).
3.4 How to Opt Out (STOP)
YOU CAN CANCEL THE SMS SERVICE AT ANY TIME. JUST TEXT "STOP" TO OUR BUSINESS PHONE NUMBER. AFTER YOU SEND THE SMS MESSAGE "STOP" TO US, WE WILL SEND YOU AN SMS MESSAGE TO CONFIRM THAT YOU HAVE BEEN UNSUBSCRIBED. AFTER THIS, YOU WILL NO LONGER RECEIVE SMS MESSAGES FROM US. IF YOU WANT TO JOIN AGAIN, JUST SIGN UP AS YOU DID THE FIRST TIME AND WE WILL START SENDING SMS MESSAGES TO YOU AGAIN.

3.6 Carrier Liability Disclaimer
Carriers are not liable for delayed or undelivered messages. Message delivery is subject to the terms and conditions of your wireless carrier. CommLoop 365 does not guarantee the delivery of any SMS message.
3.7 Message and Data Rates
Message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless provider. CommLoop 365 does not charge separately for SMS messages — they are included as part of your subscription plan.

4. Eligibility and Account Registration
The Service is intended for use by trade business owners and operators in the United States. You must be at least 18 years of age to create an account. When registering, you agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.
CommLoop 365 reserves the right to refuse service, terminate accounts, or cancel subscriptions at its sole discretion, including for violation of these Terms.
5. Subscription Plans and Billing
CommLoop 365 offers paid subscription plans as described on our Pricing page. By subscribing, you authorize CommLoop 365 to charge your payment method on a recurring monthly or annual basis, depending on the plan selected.
- Free Trial: New Clients may access a 14-day free trial. No credit card is required to start. At the end of the trial, you must subscribe to a paid plan to continue using the Service.
- Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis. Annual plans are billed in full at the start of each billing year.
- Price Changes: CommLoop 365 may change subscription prices with at least 30 days' notice to active Clients via email.
- Refunds: All subscription fees are non-refundable except as required by applicable law or as stated in our 30-day money-back guarantee for new subscribers.
- Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date.
6. Acceptable Use
You agree not to use the Service to:
- Send unsolicited, deceptive, or harassing communications to any person;
- Violate the TCPA, CAN-SPAM Act, CTIA guidelines, or any other applicable law or regulation;
- Collect or harvest personal information from callers beyond what is necessary for legitimate business purposes;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure;
- Attempt to gain unauthorized access to any part of the Service or its related systems; or
- Use the Service for any unlawful purpose or in violation of any third-party rights.
CommLoop 365 reserves the right to immediately suspend or terminate your account if we determine, in our sole discretion, that you have violated this Acceptable Use policy.
7. Intellectual Property
All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, and AI models — are the exclusive property of CommLoop 365 or its licensors and are protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer or attempt to extract the source code of any software.
You retain ownership of all data you provide to CommLoop 365, including call scripts, business information, and customer data. By using the Service, you grant CommLoop 365 a limited license to use that data solely to provide and improve the Service as described in our Privacy Policy.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMMLOOP 365 DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
CommLoop 365 does not warrant that the AI receptionist will correctly identify all emergency situations, accurately transcribe all calls, or successfully book all appointments. The Service is a tool to assist your business and does not replace professional judgment.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COMMLOOP 365 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF COMMLOOP 365 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL COMMLOOP 365'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO COMMLOOP 365 IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless CommLoop 365 and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including the TCPA or CTIA guidelines; or (d) any content or data you provide through the Service.
11. Termination
Either party may terminate these Terms at any time. You may terminate by canceling your subscription and ceasing use of the Service. CommLoop 365 may terminate or suspend your access immediately, without prior notice or liability, if you breach these Terms or if we are required to do so by law.
Upon termination, your right to use the Service will immediately cease. Sections 7 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law) shall survive termination.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which CommLoop 365 is incorporated, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between CommLoop 365 and you individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
13. Changes to These Terms
CommLoop 365 reserves the right to update or modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page;
- Notify active Clients via email at least 14 days before the changes take effect; and
- Post a prominent notice on our website.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
14. SMS Terms of Service
By opting in to receive SMS communications from CommLoop 365, you agree to receive transactional text messages related to your service requests, appointment scheduling, service updates, technician dispatch notifications, and customer support communications.
